GoSwift Merchant Terms

These terms are between you and GoSwift LLC (“GoSwift”) and apply to restaurants and merchants that sign up to use GoSwift delivery. By checking the box at signup, you agree to them on behalf of your business.

1. The service

GoSwift arranges last-mile delivery of your orders in New York City through its courier network, which includes third-party delivery providers. Orders reach GoSwift through the POS or ordering system you connect, and GoSwift dispatches a courier automatically.

2. Pricing

Each completed delivery costs $11.00 for the first 3 miles and $2.00 for each additional mile, measured by the route distance from pickup to drop-off as calculated by GoSwift's dispatch system. There is no commission on your orders. You decide whether to charge your customers a delivery fee. GoSwift may change pricing with at least 30 days' written notice.

3. Weekly billing

GoSwift bills you weekly for deliveries completed in the previous week. Invoices are due on receipt and are paid through the payment method or process GoSwift provides, which may include automatic charges to a payment method you keep on file. If an invoice goes unpaid or a payment fails, GoSwift may pause deliveries for your restaurant until the balance is paid.

4. Pass-through fees

Some charges from courier providers are passed through to you at cost: a return trip when an order cannot be delivered and is brought back, wait time when an order is not ready at pickup, and cancellations made after a courier has been dispatched. These appear on your weekly invoice.

5. Tips

Delivery tips your customers add at checkout are passed to the courier in full.

6. Your responsibilities

You agree to provide accurate order details and customer addresses, have orders packed and ready at the pickup time, use packaging suitable for delivery, and comply with food safety and all other laws that apply to your business. You may not send alcohol, tobacco, cannabis, weapons, hazardous materials or other prohibited items through GoSwift unless GoSwift has agreed in writing and the delivery is lawful.

7. Delivery issues

Report a problem with a delivery — such as a late, missing or damaged order — within 48 hours to info@goswifthq.com. GoSwift will work with the courier provider to resolve it and may issue a credit at its discretion. To the extent permitted by law, GoSwift's liability for any delivery is limited to the delivery fee charged for that order.

8. Your customers and data

Your customers and their information belong to you. GoSwift uses order and customer details only to perform deliveries, provide tracking and support, and bill you, and does not sell them. See the Privacy Policy for details.

9. System connections

By connecting your POS or ordering system, you authorize GoSwift and its dispatch provider to access the order information needed to deliver your orders. You can disconnect at any time from your POS or ordering system.

10. Referral and partner programs

Merchant referral credits and partner payouts are governed by their own program terms, provided when you join those programs.

11. No long-term contract

There is no minimum term. Either you or GoSwift may end the service at any time with written notice. Invoices for deliveries already completed remain due.

12. Changes and governing law

GoSwift may update these terms with at least 30 days' written notice; continuing to use the service after that means you accept the update. These terms are governed by the laws of the State of New York. You and GoSwift are independent businesses; nothing here creates a partnership or employment relationship.
